The Situation and his former manager struck a deal outside the courtroom and mutually decided to dismiss a $1,000,000 lawsuit, TMZ has learned.

As TMZ first reported, The Sitch was sued in 2011 by his ex-management company, Gotham NYC Entertainment, after they claimed they were wrongfully fired by the "Jersey Shore" star. The company alleged they took Sitch from "relative obscurity to become an international celebrity" and were seeking a million dollars in damages.

Sitch wasn't having any of it and filed his own countersuit ... claiming Gotham NYC did squat for him as his manager, failed to properly advise his career, and never returned his phone calls in a timely manner.

Now that's all behind them ... according to court docs, the two parties came to an agreement last month and dismissed both suits. They even agreed to pay their own legal fees.

You probably think Pauly D is just a stupid guy on a stupid reality show with a stupid haircut ... but over the last 12 months, he's made $11 million. Who's the stupid one now?

Pauly ranked 7th on a list of the highest-paid DJs put out by Forbes magazine. He's just $500k behind his adversary DeadMau5. The top guy on the list, Tiësto, made a whopping $22 million.

Pauly also has his own clothing line, a spin-off reality show, his own tanning lotion, his own line of cocktails, and a set of headphones with 50 Cent.

"Jersey Shore" star The Unit just caught a hell of a break in his drug case -- TMZ has learned, he struck a sweet deal with prosecutors to keep his ass out of jail.

Mr. Unit -- real name John Manfre -- was arrested last summer outside the "Jersey Shore" house for felony drug possession, when cops say they found Special K on his person ... the street name for Ketamine ... a drug often used as a horse tranquilizer.

But today, Manfre got off with a slap on the wrist -- agreeing to plead guilty to a "disorderly persons offense" if prosecutors dropped the drug charge, which they did.

Manfre was ordered to pay $125 in fine ... that's it.

The Situation was supposed to be the face of some anti-fat cream, but instead he ended up in rehab and never did a thing ... so says the company who hired him ... and now they want their $$$ back, this according to a new lawsuit.

A company in FL called Performance Brands claims they signed a deal with the "Jersey Shore" star back in September 2011 to endorse their fat metabolizing cream ... a job Sitch is perfect for thanks to his six-pack.

According to legal docs, PB claims they paid Sitch and his people a $75,000 advance. His job was to provide promotional material, give shout-outs on social media and make personal appearances ... which PB claims NEVER happened.

Not only that, PB says right after they sent the $$$ ... Sitch checked into rehab for a prescription drug addiction ... which they claim his PR team lied to them about, before later copping to the truth.

They say his failure to disclose his drug addiction is a breach of contract and they want all their money back.

Sitch fired back at the company with his own counter-suit -- claiming PB failed to give him a marketing plan on-time, advertise in national magazines, or give him free product. PB denies all these claims.

Fun Fact -- Snooki has been invited to attend the wedding of former U.S. Olympic wrestling champ Kurt Angle, which will take place in Pittsburgh this weekend.

It was a totally different Situation in Las Vegas last night ... where the "Jersey Shore" star celebrated his birthday without any of trademarks making an appearance.

Sitch turned 30 back on July 4 and finally got around to celebrating in Sin City at Señor Frogs, located inside the Treasure Island hotel. The night was very low key -- not only did Sitch not gel up his air or flaunt his abs ... but our spies say he didn't touch a drop of alcohol.

Change is good.

Snooki did NOT secretly get married to her baby daddy Jionni LaValle ... and she did NOT secretly take the guy's name either -- despite what her ultrasound says -- sources tell TMZ.

In case you missed Thursday night's episode of "Snooki & Jwoww" -- the Snookster unveiled her highly-anticipated ultrasound ... and Snooki's name is listed as "Nicole LaValle."

But Snooki sources tell TMZ, the ultrasound is WRONG -- because Snooki's real name is still legally "Nicole Polizzi." The doctor's office simply entered the wrong name by accident.

And for all you conspiracy theorists -- the source adds, "Snooki is 100% not married ... yet."

"Jersey Shore" star Deena Cortese won't face criminal charges after her disorderly conduct arrest last month -- but she WAS slapped with a hilarious fine ... for "failing to use the sidewalk."

TMZ broke the story ... Deena was busted last month in Seaside Heights for dancing like an idiot in the streets. Deena's PARENTS bailed her out of jail later that day.

Lucky for Deena, the disorderly conduct charge was dropped today in court -- but the "Jersey" girl didn't get off scot-free ... prosecutors charged her with what's called "title 39" instead ... or "failing to keep your crazy ass off the street."

With her unborn baby due in a couple of months, "Jersey Shore" former party girl Snooki used a stroller to transport a case of Coors Light in Seaside Heights on Monday.

Just because she's carrying an unborn baby inside her and not downing tequila shots doesn't mean anything has changed for Snooki ... as the pint-sized mother-to-be once again stumbled to the ground in Seaside Heights on Thursday.

Rockin' a pair of maternity platform sandals, the unmarried "Jersey Shore" star lost her footing and took a sober tumble on to the sidewalk yesterday. Luckily, she was uninjured, quickly got up and went on her non-alcoholic merry way.

After long hours of GTL, "Jersey Shore" dudes Ronnie, Pauly D, Vinny and The Situation showed off their bronzed, buff bods at the beach in Seaside Heights on Wednesday.

Question is ...

One of the guys who allegedly got his face bashed in by Ronnie from "Jersey Shore" last week has filed a criminal complaint with police -- and TMZ has learned, it spells big trouble for the reality star.

As we previously reported, a guy named Justin Vigerito (above) was drinking with Ronnie and Jwoww's BF last Friday at a place called Bamboo Bar in Seaside Heights, NJ. According to Justin, his friend Devon tried to join the party ... but someone from the "Shore" crew shoved him in the back, starting a huge brawl.

Justin said he went to help his friend -- and Ronnie clocked him in the face ... before punching him several more times. (Ronnie's been telling friends any punches he threw were in self-defense.)

Now, Justin has gone to cops -- filing a criminal complaint against Ronnie for assault. Seaside Heights police are investigating the incident.

But it's all bad news for Ronnie -- who enrolled in an 18-month pretrial intervention program last year, stemming from his last violent Shore encounter in 2009, when Ronnie allegedly punched another guy in the face.

The program will allow Ronnie to avoid assault charges from the 2009 incident -- but only if he completes his required community service ... and keeps his nose clean.

Perhaps too pregnant to deal with the arduous task of walking, Snooki rode an electric scooter around Seaside Heights with fellow "Jersey Shore" cast member Deena, who managed to not get arrested during the outing.

Just like two guidettes in a pod, "Jersey Shore" meatballs Deena and Snooki now have matching drunken and disheveled classic mug shots.

Congrats to Deena Cortese -- her mug shot is an instant classic, 'cause the "Jersey Shore" star is sporting a look that screams WASTED.

TMZ obtained the mug shot taken last weekend by Seaside Heights PD after her arrest for disorderly conduct.

As TMZ first reported, Deena was busted on Sunday when she was dancing in the street outside a Mexican restaurant ... and drawing huge crowds of fans. Deena's parents bailed her out of jail later that day.

Her arraignment is scheduled for July 3.

Deena from "Jersey Shore" doesn't like being heckled ... in fact, she WENT OFF on a couple of troublemakers in Jersey this weekend ... and then attacked 'em with a basketball.

Deena was TRYING to shoot a scene for the MTV show while playing a basketball carnival game on the boardwalk on Sunday ... when a couple of hooligans started harassing her from a distance.

Deena flipped out -- stopping production to tear the people a couple of new a-holes ... and then firing a basketball at them. It's unclear if she connected ... but probably not ... she's got a weak arm.

Eventually, the hecklers shut their mouths and let Deena do her thing ... and we all know how that turned out ... 'cause she was arrested for disorderly conduct a short time later.
