TMZ has obtained a letter from Carrie's lawyer, threatening to sue Vivid if it releases videos or photos of Carrie's solo, XXX greatest hits. Carrie's lawyer, Charles LiMandri, told Vivid, even though he made it clear yesterday that no means no, "...your company has apparently told the media that it plans to publish the videotapes and/or photographs of my client with or without her permission."

LiMandri left nothing to the imagination, warning Vivid Carrie will sue for invasion of privacy, misappropriation of her likeness as well as public disclosure of private facts ... if Vivid makes good on its threat.

LiMandri will also add a claim for emotional distress for good measure. And he claims some of the videos were shot when she was only 17. Her ex-boyfriend -- the guy to whom she sent the tapes -- begs to differ.

TMZ has obtained a copy of a letter Vivid honcho Steven Hirsch sent to Prejean's lawyer, Charles Limandri. Hirsch is asking to acquire the rights to distribute "erotic footage that Carrie Prejean, former Miss California, produced for her boyfriend following their four (4) day rendezvous in February 2007." It's the same video (eight in all, along with 30 photos) that TMZ obtained but has not posted because it's just too racy.

In the letter, Hirsch tries tempting Carrie with this: "We would like to present Carrie with several options where she could certainly earn millions of dollars."

Hirsch boasts his stable of stars, including Kim Kardashian, Kelli McCarty (former Miss USA) and Shauna Sand -- the kinds of women any gal would be proud to call her peers.

TMZ spoke with attorney Limandri last night, and it looks like Carrie's not biting. Limandri says Carrie's mom/rep says, "No, at any price."

Carrie claims she was underage when the videos were shot, but her ex-boyfriend to whom she sent the videos begs to differ.

But Carrie may have another plan to score some loot. We're told she may sue the Miss Cali pageant, along with its officials, because she believes they leaked the settlement to TMZ.

The world's largest porn company has obtained a copy of the Carrie Prejean solo sex tape -- and TMZ has learned they're desperately trying to release it.

The porn company -- Vivid Entertainment -- tells us they obtained the tape legally, but they want Carrie to sign off on it personally before it goes wide. Good luck with that...

As TMZ first reported, the solo sex tape was played in front of several people during settlement negotiations between Prejean and the Miss USA Pageant just a few weeks ago. Once Prejean saw the tape, she instantly dropped her $1 million demand.

For the record, TMZ has had the tape for weeks, but elected not to publish it -- and we have not disseminated it.

Vivid Prez Steven Hirsch tells TMZ, "The third party that brought the tape to Vivid affirmed that she was over 18 years of age at the time it was made."

The sex tape starring Shauna Sand is being delayed a week -- and it all has to do with whether or not Shauna signed on the dotted line.

Vivid Entertainment says it plans to counter Shauna's cease and desist letter by bringing in a handwriting expert to prove the release they have is authentic. Fun fact: if it is, it could be the only thing about Shauna that is truly authentic.

No word on how long it will take the handwriting expert to draw a conclusion -- but how hard can it be to analyze an X?

In the wake of Carrie's topless photo controversy, Vivid Entertainment -- one of the biggest adult film companies in the world -- has decided to test Prejean's moral toughness with a $1 million offer to star in one of their "films."

In the formal offer, mailed off to Prejean late Wednesday afternoon, Vivid makes it clear, "This is purely a business offer and has nothing to do with your religion or your personal beliefs."

In a letter sent to Nadya, Vivid is offering her seven figures, free health insurance for one year and a bus big enough for the family if she agrees to do a reality show for them. The catch? All her nannies have to be porn stars and she has to appear semi-nude in a XXX flick.

We're pretty sure she'll say no -- but Octo just said she fired her Angels in Waiting nannies, so who knows?

We're told the tape is about 45 minutes in length, but so far -- no buyers.

We just got this statement from Jeremy: "Listen, this video was made by my best friend. Between me and a casual sex partner who just so happened to be a former porn star. I was later physically threatened if I didn't turn the DVD over to some drug addicted thugs.

(Note the ciggy in the bathtub.) Sources tell TMZ that the video, shot sometime this year, will be released before the end of the year, and just in time for the kickoff of "Idol's" seventh season.

The classy Miss Sierra was arrested earlier this week for disorderly intoxication and resisting an officer without violence. In a new audio tape of a jailhouse phone call, Sierra can be heard calling those same cops "crackers."

TMZ has learned that Kim Kardashian has dropped her lawsuit against Vivid Entertainment over the release of her sex tape with former BF, R&B artist Ray J ... who has now moved on to Whitney Houston.

The tape, which Vivid paid a million dollars for, is now a bestseller in adult video stores and online markets. Vivid's co-chairman tells TMZ, "We are pleased that Kim has dropped her legal action against us, we met with her several times and finally reached a financial arrangement that we both feel is fair." Sounds like they're bosom buddies now.

According to UsMagazine.com Kardashian will receive close to $5 million in the settlement.

Despite Kim's pending lawsuit, Vivid Entertainment is going forward with a March 21 release of "Kim Kardashian Superstar" -- the sex video Kim made with then-boyfriend, Ray-J.

Steven Hirsch, Co-Chairman of Vivid, told TMZ, "I met with Kim yesterday and unfortunately, we didn't even come close to reaching an agreement. We will now immediately move forward with the release."

After Kardashian filed suit last month, Vivid announced that they would temporarily halt production. The company feels confident that they have a legal right to distribute the DVD of the video. They paid an unidentified third party $1 million for rights to the tape, which was made three years ago.

Vivid promises a new preview clip will be available next week on www.kimksuperstar.com.

Despite the lawsuit, Hirsch tells TMZ he is still a huge fan of Kim's. "Kim has all of the qualities that we look for in a Vivid Girl. She's both beautiful and well-spoken which is a rare combination. In fact, if she was a Vivid Girl I might have cast her as 'Debbie' in our 'Debbie Does Dallas...Again' TV series which debuts [Friday] night at 11pm on Showtime." Nice plug Steve.

TMZ has obtained a lawsuit filed by Kim Kardashian against Vivid Entertainment over the distribution of her sex tape with her ex-boyfriend, singer Ray-J.

The lawsuit, which cites "violation of right to privacy" and "right of publicity" was filed today in Los Angeles County Superior Court.

In a statement to TMZ Kardashian says, "This tape, which was made three years ago, and was meant to be something private between myself and my then boyfriend is extremely hurtful not only to me, but to my family as well. I am filing legal charges against the company who is distributing this tape since it is being sold completely without my permission or consent."

The 40-second segment shows Kim and Ray J in bed as he tries to adjust the camera, "to get the right lighting." Kim then takes a turn posing while Ray J grabs a handful of her butt.

As TMZ first reported, the tape was said to have featured certain explicit acts. Steven Hirsch, co-chairman of Vivid Entertainment, coyly told TMZ that the sex tape that they received and are currently marketing does not contain water sports nor anything along those lines.

Kim has maintained that she is not involved in the sale of the tape, something Hirsch confirms. "We have tried to contact Kim," he says, "The tape can generate a tremendous amount of interest and we would like her to take part in that."

That sex tape starring Kim Kardashian, sometime BFF of Paris HIlton, definitely exists, and now it's about to be unleashed on DVD.

Vivid Entertainment will announce this morning, according to AVN.com, that they have obtained the tape and have come to an agreement with the parties involved to market and sell it. As TMZ first reported, the sex tape, made by Kim's ex-boyfriend Ray J (brother of Brandy), features certain explicit water sports as well as other raunchy activities.
