Harvey Weinstein and his brother, Bob Weinstein, will have a showdown Tuesday that will inevitably lead to screaming, profanities and ultimately the threat of a lawsuit that could do in the company ... multiple sources connected to the meeting tell TMZ.

The Board of Directors of The Weinstein Co. has a meeting on the books and we're told Harvey Weinstein's firing is on the agenda. Harvey will be on speakerphone ... he's in Arizona to get treatment for behavioral issues and sex addition. His civil lawyer, Patty Glaser, will be present in the room.

Our sources say Glaser is prepared to outline multiple reasons why her client's firing violates his contract. As we reported, the company never gave him a reason for booting him out, and our sources say to this day the company has never offered Harvey or Glaser any reason. She's also prepared to argue Harvey did not violate the contract.

As we reported, there's a provision that covers claims such as sexual harassment, and as long as Weinstein reimburses the company for any settlement or judge and then pays a penalty, all is good. Glaser will note the contract was signed in October 2015 and since then there hasn't been a single claim against her client.

As strong as Glaser is, we're told the lawyers who rep TWC, O'Melveny and Myers, believe the company had every right to fire Harvey. They say the company's Code of Conduct gives them that right, but we're told Glaser's position is that the contract trumps the Code.

Now the heat ... our sources say Bob Weinstein is angry -- livid -- over the whole situation and loses control during heated conversations. Harvey and Bob are birds of a feather, and people involved in the meeting say it's inevitable things will get loud and ugly.

We're told Glaser is ready to amp things up if the Board doesn't see things her way ... which is unlikely. She can try and force mediation and arbitration, which is provided for in the contract, but if the Board won't play ball we're told she's ready to file a lawsuit.

As one very connected source put it, "There is so much crap that will be unearthed in a lawsuit, the company just can't survive it."

Boosie's brother is dodging serious potential jail time for allegedly stealing more than $300k from his famous sibling, but the big question ... WHY??

The D.A. in charge of Taquari Hatch's case has refused to file charges against him -- despite cops busting him for allegedly siphoning $361,000 from Boosie's account.

We broke the story ... Taquari was booked for identity theft and fraud charges after cops claimed he posed as Boosie to authorize multiple wire transfers. Taquari had always maintained he was innocent ... and it now seems the D.A. agrees -- or at least feels the evidence wasn't strong enough.

We've reached out to the D.A.'s office for clarification on why Taquari is walking away scot-free ... so far, no word back.

Nelly is a king who should focus on being great again -- that's his pal, T.I.'s advice on the heels of Nelly's rape accuser refusing to testify.

Nelly performed in South Florida this weekend ... his first gig since getting arrested in Washington for rape. The after-party went down at Rockwell Nightclub, at around 3 AM Sunday he got onstage with T.I. ... who made it clear where he stands on the allegation against Nelly.

Earlier, Nelly performed at The Coral Sky Amphitheatre in West Palm Beach. The performance came just one day after his rape accuser said she was refusing to testify against him, and wants the matter dropped.

This look on Nelly's face during the show seems to say it all -- I'm moving on!

4:56 PM PT -- Colin's lawyer, Mark Geragos, released a statement saying ... "We can confirm that this morning we filed a grievance under the CBA on behalf of Colin Kaepernick. This was done only after pursuing ever possible avenue with all NFL teams and their executives." The statement goes on to say Colin shouldn't be punished for his peaceful protest, and that he just wants to get back to playing.

Colin Kaepernick has filed a grievance against the NFL alleging the league colluded to keep him out because of his National Anthem protests ... according to a new court filing.

The filing, obtained by ABC News, alleges the league's owners "colluded to deprive Mr. Kaepernick of employment rights in retaliation for Mr. Kaepernick's leadership and advocacy for equality and social justice."

Kaepernick has also hired celeb attorney Mark Geragos for representation as opposed to going through the NFL Players Association.

As we reported ... Kaep's protest has ignited a national debate about kneeling for the flag.

Joe Giudice is following his wife Teresa's lead when it comes to keeping busy in prison ... he's dropping lbs and changing his life ... TMZ has learned.

We're told Joe's lost 45 pounds since he began serving his sentence 18 months ago for bankruptcy fraud. He's been working out nonstop and his diet has changed dramatically.

He's also flexing his brain muscles by getting his GED. His syllabus includes the basics ... English, math, science and social studies.

You'll recall, Teresa also slimmed down during her 11-month stint behind bars. Joe got more time ... 41 months, so he's barely at the halfway mark. If things keep going the way they are he'll be barely recognizable when he's finally out.

4:20 PM PT -- Nelly's attorney Scott Rosenblum tells us ...the accuser's "reckless accusation, once investigated thoroughly, was exposed for what it was-a fabrication. A fabrication that has caused Nelly and his family to suffer emotionally and financially."

He's not satisfied though, and says he wants a public apology from the woman, and will recommend Nelly consider taking legal action against her.

The woman who accused Nelly of rape is refusing to testify, and wants the whole matter dropped ... TMZ has learned.

The woman's attorney, Karen Koehler, says her client has told the Auburn PD in Washington State, and the King County D.A. to "put a halt to the criminal investigation of [Nelly]. She will not testify further in a criminal proceeding against him."

Koehler says the young woman feels the system has failed her and she can't stand up to a celebrity. "Who will believe her. People are saying horrible things already. She cannot handle this. She is about to break."

Koehler added ... the woman was especially dismayed by the fact police told the media she had met with them and prosecutors -- after she was assured no one would know about the meeting until the investigation was closed.

TMZ broke the story ... the accuser told police Nelly raped her on his tour bus early last Saturday morning. He denied the allegation, and claimed she was motivated by greed, money and fame.

Venus Williams has a new defense in her fatal car accident, and she's laying blame squarely on a third driver who drove away from the scene unscathed ... TMZ Sports has learned.

Venus filed new docs in the case which reference an unidentified driver in a dark-colored sedan. She says that driver, who was heading in the opposite direction, violated her right of way by cutting in front of her in the intersection ... to make a left turn.

What she's describing is clear in the surveillance video TMZ Sports first posted.

Venus says that other driver's "improper left hand turn" made her slow down, and stop to avoid hitting the sedan.

The video shows what happened next. Venus continued through the intersection, but police say by that time, the light had turned red ... hanging Venus out to dry in the intersection. Seconds later Linda Barson t-boned Venus' SUV. Barson's husband later died from his injuries in the accident.

In the docs, Venus says if she's at fault at all for the wreck ... the unidentified sedan driver should at least share the blame.

Jerry Jones thinks Ezekiel Elliott is getting a raw deal -- saying the 6-game suspension is simply unfair.

The Dallas Cowboys owner called in to "G-Bag Nation" on 105.3 The Fan in Dallas early Friday morning and said, "I'm very familiar with all of the facts and the details of this case. Very familiar ... Zeke did not get treated fairly here."

As we previously reported, a federal appeals court issued a ruling essentially clearing the way for the NFL to enforce the 6-game suspension it handed to Elliott as a result of a domestic violence investigation.

Elliott was never charged with a crime -- but the NFL's private investigators believe Elliott did, in fact, attack his girlfriend back in 2016. Zeke denies all wrongdoing and Jones clearly believes him.

"Zeke and his team and the Cowboys do not think [the NFL's suspension and punishment process] was done in a fair way. We are trying to get that looked at, and we got a setback yesterday."

Marc Anthony is a couple million bucks lighter in the pockets today -- and even though he had NO idea until recently -- the alleged heist has been going down for 8 years ... TMZ has learned.

Prosecutors in NYC say Kyle Tessiero worked at a major NYC accounting firm. We're told the firm reps Marc, as well as Drake and Pharrell. According to docs, obtained by TMZ, Tessiero started working there in 2007 and told prosecutors he instantly had access to Marc's bank accounts and credit cards.

He says he made the most of it -- making millions of dollars worth of purchases on Marc's credit cards, and by accessing his accounts from 2009 to 2017. He also used the singer's dough to live the high life at entertainment venues around the city.

He really went hog wild over the last 4 years ... according to the docs, Tessiero used Marc's Amex to run up $2.5 million worth of charges ... which he paid for with cash out of Marc's bank account.

Brand new autographed O.J. Simpson memorabilia has already hit the market -- just 10 days after Juice signed a bunch of helmets in a secret Vegas hotel signing session ... TMZ Sports has learned.

Steiner Sports -- one of the biggest memorabilia dealers in the business -- just posted two new signed Buffalo Bills helmets in the "new arrivals" section of their website. One is selling for $400. The other, containing O.J.'s Hall of Fame year, is going for $450.

The website claims the helmets have been "hand signed" by Simpson and the autograph has been deemed "100% authentic."

A rep for Steiner tells us, "So it is clear, Steiner Sports did not hold the signing with O.J. Simpson, but purchased his new autographs from a third party."

Steiner CEO Brandon Steiner tells TMZ Sports, "Collectors collect and O.J. Simpson is a part of sports history for his accomplishments on the field. He’s a Heisman Trophy winner, 10,000+ yard rusher and Hall of Famer. We are just trying to answer the demand of our customers looking to complete their collections."

The big question ... with O.J. merchandise selling in the hundreds of dollars, you gotta wonder if Simpson is being paid for his Hancock.

If he is, O.J. owes all of it to the Goldman family -- thanks to the wrongful death judgment against him. If O.J. tries to hide the money, he could go back to prison.

Blac Chyna went HAM on some guy's phone, and then the guy went OFF ... to talk to the police.

Chyna's listed as the suspect in a misdemeanor vandalism report LAPD took Thursday around 3:30 AM. Law enforcement tells TMZ, the man was shooting video of Chyna as she left a Hollywood club and she wasn't happy about it.

That's obvious in this video shot by another photog, where you clearly see Chyna slap something out of a man's hand. Sources close to Chyna tell us she'd repeatedly told photogs she didn't want to be shot. When they persisted ... she flipped, and threatened to get some "real n***as" to kick their asses.

Harvey Weinstein may have been fired illegally by The Weinstein Company, a company that wrote a contract that said Weinstein could get sued over and over for sexual harassment and as long as he shelled out money, that was good enough for the Company.

TMZ is privy to Weinstein's 2015 employment contract, which says if he gets sued for sexual harassment or any other "misconduct" that results in a settlement or judgment against TWC, all Weinstein has to do is pay what the company's out, along with a fine, and he's in the clear.

According to the contract, if Weinstein "treated someone improperly in violation of the company's Code of Conduct," he must reimburse TWC for settlements or judgments. Additionally, "You [Weinstein] will pay the company liquidated damages of $250,000 for the first such instance, $500,000 for the second such instance, $750,000 for the third such instance, and $1,000,000 for each additional instance."

The contract says as long as Weinstein pays, it constitutes a "cure" for the misconduct and no further action can be taken. Translation -- Weinstein could be sued over and over and as long as he wrote a check, he keeps his job.

The contract has specific language as to when the Board of Directors can fire Weinstein -- if he's indicted or convicted of a crime, but that doesn't apply here.

There's another provision ... he can be fired for "the perpetuation by you [Weinstein] of a material fraud against the company." The question ... where's the fraud? Lance Maerov, the board member who negotiated Weinstein's 2015 contract, said in an interview -- and we've confirmed -- the Board knew Weinstein had settled prior lawsuits brought by various women, but they "assumed" it was to cover up consensual affairs. The Board's assumption does not constitute fraud on Weinstein's part.

And here's the kicker. Even if Weinstein had committed fraud by not fully informing the Board of Directors, the contract says before he can be fired he has a right to mediation and if that doesn't work, he's entitled to arbitration. He got neither. He was summarily fired, and sources connected with Weinstein tell TMZ he was never given a specific reason.

Tyga's playing a super high stakes shell game with the more than $2 million he owes an ex-business partner in his Last Kings t-shirt company -- but the guy's not up for games, he's just suing.

The biz partner, Chuon Guen Lee, was already awarded the millions in a lawsuit he filed against Tyga, but -- plot twist -- he can't get a dime out of the rapper. According to new docs, obtained by TMZ, Tyga's set up several new companies he's using to hide his profits from the t-shirt biz.

Lee says it ain't small change either ... he says Tyga's hauling in about $450k per month.

In the suit, Lee says the sole reason his old partner launched the other companies is to block his efforts to collect the money.

He's suing to get a full accounting of Tyga's revenues, from all the companies, and void the transfer of money to them.

3:01 PM PT -- An NFL spokesman provided TMZ Sports the following statement ...

"Earlier today, the Fifth Circuit Court of Appeals vacated the preliminary injunction that prohibited the league from imposing the six-game suspension issued to Ezekiel Elliott for a violation of the Personal Conduct Policy. The Court also directed the district court to dismiss the union’s lawsuit which was filed on Elliott’s behalf."

"As a result, Elliott’s suspension will begin effective immediately. Elliott is eligible to return to the team on Friday, November 24 following the Cowboys' Thursday, November 23 game against the Los Angeles Chargers."

2:56 PM PT -- Elliott's agent Frank Salzano tells us, “We are currently exploring all of our legal options and will make a decision as to what is the best course of action in the next few days. Until that time we have no further comment on the 5th circuit’s decision.”

Bad news for the Dallas Cowboys ... a federal appeals court has ruled Ezekiel Elliott's 6-game suspension is back on.

A federal appeals court made a ruling today ... essentially throwing out a lower court's ruling that allowed Zeke to play.

So, what does it all mean?

For now, the NFL's initial domestic violence punishment stands -- and the league has been cleared to enforce the 6-game suspension.

The Cowboys happen to be on a bye week -- which gives Zeke's team some time to counterpunch and fight the ruling.

The NFL had initially moved to suspend Zeke after a private investigation found he physically abused his girlfriend on multiple occasions.

Important to note, Elliott was never prosecuted for the incidents -- and he maintains his innocence.

But due to the collective bargaining agreement, the NFL believes it doesn't need a conviction to punish a player.

Mexican soap star Eduardo Yanez is under criminal investigation for viciously slapping a reporter during a red carpet event ... TMZ has learned.

Law enforcement sources tell us, Univision reporter Paco Fuentes filed a police report with the LAPD, claiming assault and battery.

The slap was captured on video. Yanez lost it after Fuentes tried shaming him by saying his son had to set up a GoFundMe account to pay for car repairs because Yanez wouldn't. Yanez and his son have a strained relationship that became very public back in June after Yanez's son accused him on Twitter of being a drug addict, racist and woman abuser.

We're told the investigation is not complete. If charges are filed against Yanez and he's convicted, he would face a maximum of 6 months in jail.

Ex-USC football player Osa Masina pled guilty to 3 counts of sexual battery -- all misdemeanors -- in a Utah courtroom today ... and faces up to 3 years behind bars.

Back in 2016, a 19-year-old woman said she fell asleep after partying with Masina, now 20, and friends. She told police when she woke up Masina was anally raping her. She also said Masina engaged in oral sex with her while she was asleep.

The ex-USC linebacker was initially charged with rape and two counts of forcible sodomy -- both 1st degree felonies.

This morning, Masina appeared in a Salt Lake City court and pled guilty to reduced charges -- 3 counts of misdemeanor sexual battery. He faces a year in jail for each count.
