Ryan Seacrest's new lady Shayna Taylor nearly FROZE TO DEATH during her first big modeling shoot yesterday -- stripping down to a tiny bikini on an L.A. beach in the middle of the winter -- but even though it was cold outside, the photo shoot was hot as hell.

As we reported, the 23-year-old smokeshow just signed with a huge modeling agency thanks to the publicity she's gotten from allegedly dating the "American Idol" host.

Check the video ... she's a natch ... but she still needs a little coaching from the photographer.

It's a lot for Julia Roberts to stomach ... questions that she's pregnant again.

Julia was with hubby Danny Moder at his parents' home in LA ... and something was poppin' out of her baggy sweater.

Ryan Seacrest still has the Midas touch ... 'cause his sexy new rebound chick just inked a deal with one of the biggest modeling agencies on the planet.

TMZ has learned Shayna Taylor -- a.k.a. Ryan's hot new blonde -- signed a 2-year deal with Wilhelmina Models yesterday.

We're told Shayna's Instagram BLEW UP with new followers following the Thanksgiving holiday she spent with Ryan and his family in Argentina ... and the modeling agency took notice.

Plus, she's really hot.

A rep for Wilhemina tells us they believe Shayna has "huge potential in the fitness and lifestyle world."

Shayna is publicly saying she and Ryan are just friends -- but, c'mon ... what kind of friends travel around the world together with Seacrest's parents.

Justin Bieber's bodyguard is being accused of throwing a fan's father down the stairs of an Australian hotel yesterday ... but TMZ has learned the whole story is BS.

A rep for the Western Australia Police tells TMZ they are not aware of any incident involving Bieber's security team tossing a guy down a flight of stairs Friday at the Hyatt Hotel in Perth -- despite reports claiming they responded to the incident.

According to reports ... the dad yelled at security for disrespecting his daughter so the bodyguard tossed him through a door with a set of stairs behind it.

Sources close to Bieber tell us ... a dad and his kids wanted to meet Bieber and demanded the hotel show him where the singer was. The guy started yelling ... so he was swiftly escorted from the building.

Paul Walker did NOT make a final desperate attempt to escape the burning wreckage -- and the image seen in video shot right after the crash is definitely NOT Paul ... TMZ has learned.

There had been rampant speculation and buzz on the Internet that a shadowy figure seen around 23 seconds into the video of the burning Porsche Carrera GT ... was Walker trying to get out of the vehicle, but sources connected to the investigation now say it just isn't so ... for several reasons.

First, the sources tell us that, based on photographs of the wreckage ... Paul's body was pinned in an area of the car that makes it clear he couldn't have been flailing outside the vehicle.

Also ...we're told that based on the injuries he suffered, Paul died within a nanosecond of impact, and therefore it's impossible for the image in the video to be him.

It's not clear how long after impact the video starts, but clearly more than a nanosecond.

The nasty divorce between "Real Housewives of Atlanta" star Porsha Williams and Kordell Stewart is officially over ... and Kordell says he couldn't be more thrilled to get such a horrible person out of his life.

TMZ spoke with Kordell's lawyer, Shiel Edlin, who tells us the divorce has been finalized ... ending the 2-and-a-half year marriage between the former NFL player and the Bravo reality star.

Kordell's lawyer says Stewart is "very disappointed" the marriage fell apart, because he expected to be married for life."

But the former Pittsburgh Steelers star is clearly still FUMING after Porsha began reigniting rumors that Kordell is gay. Kordell adamantly denied the allegations.

"For reasons we cannot understand, [Porsha] displayed a reckless abandonment of anything close to the truth over the last eight months," Kordell's lawyer tells us.

"We are also hopeful that Porsha will stop villifying Kordell at every opportunity."

Lindsay Lohan is practicing the safest kind of sex -- NONE -- because she's too busy focusing on her career to worry about boys ... sources close to Lindsay tell TMZ.

According to sources, Lindsay's laughing off reports she's hooking up with Liam Neeson's 18-year-old son, Michael ... claiming they're only friends and have been for quite a while.

In fact, sources tell us, Lindsay hasn't been dating ANY of the people she's been reportedly seeing recently, including male models Morgan O'Connor (a friend of a friend) and Liam Dean (whom she met on a photo shoot).

Ryan Seacrest is more predictable than crap in a diaper -- the "American Idol" host has a new lady in his sights after dumping Julianne Hough ... and shocker, she's also a hot blonde.

The girl's name is Shayna Taylor ... she's 23 ... annnnd that's pretty much it.

According to our sources, Shayna runs in one of those hot blonde Hollywood crowds filled with Instagram models who pretty much party exclusively at rich people's houses. And that's how Seacrest met her roughly a year ago.

It's unclear if Ryan and Shayna are boyfriend and girlfriend ... or just "close" friends.

Fun fact: Shayna's the same girl who was pictured smooching with Terrence Howard last year in St. Barts.

“Real Housewives of Atlanta” star Phaedra Parks' husband -- Apollo Nida -- definitely didn't text Kenya Moore for sex last year ... 'cause he tells TMZ, he just wanted to talk business.

"Sextgate" started on last seasons' 'RHOA' reunion show ... when Kenya implied Apollo was sending her inappropriate text messages after they apparently ran into each other in L.A.

But Moore and Apollo have both denied any wrongdoing since then ... and now Nida claims he only struck up the convo to propose that the two collaborate on a workout tape.

The tandem workout DVD never got off the ground ... 'cause Phaedra put the kibosh on the joint venture before Nida ever had a chance to make his proposal.

Dr. Dre's attack against a big website may have backfired ... the attorney for TheDirty.com fired off a letter to Dre saying what a big fan he is ... and then lumping the legendary rapper in with the likes of OJ Simpson.

It's actually pretty hysterical. A post on TheDirty claimed Dre -- who is married -- has been hooking up with a big booty video vixen.

Dre's lawyer fired off a letter to TheDirty, and we've obtained the response from the website's lawyer, and it's priceless.

David Gingras, Esq., begins by saying, "Back in the '80s I personally destroyed many subwoofers blasting N.W.A.'s 'F**k Tha Police' in my car in the high school parking lot."

Gingras goes on to say what a fan he is ... and then goes on a very sarcastic attack.

First, the lawyer challenges Dre's claim that the story is false: "Bill Clinton and Monica what's-her-name both denied having sexual relations. Of course, they were both lying. Same thing with Lance Armstrong." And then he jokes, "Other than O.J. Simpson, who was clearly framed, history is filled with examples of people who make mistakes and lie about them to cover it up."

The hired gun goes on and on, making jokes about people in Eastern Kentucky -- "cue banjo music," trashing a court decision from that region that makes it seem Dre has a case. The lawyer wrote, "If you believe the Kentucky court's decision [it's compelling] ... I also have a fabulous ocean-front unicorn ranch here in Arizona that you might want to buy."

Bottom line -- TheDirty's lawyer says the posts in question were comments from users, and the website isn't responsible.

Ne-Yo has way too much money to stiff some restaurant on a bill ... despite accusations he bailed on a $800 tab in NYC last month ... the singer tells TMZ.

Ne-Yo was out at LAX last night when we asked about allegations he racked up an $800 bill with his friends at a West Village restaurant called Negril ... then skipped on the bill ... and tip.

Ne-Yo tells us, "Anybody that knows me knows that I don't have to dine and ditch ... $800, seriously?"

Ashton Kutcher got aggressive with the paparazzi outside of a popular restaurant on Melrose Ave. last night -- but the whole tough guy act may have just been a cover to keep his allegedly pregnant girlfriend away from cameras.

Ashton and Mila Kunis were eating dinner at Carlitos Gardel Restaurant in Hollywood -- great Argentinian food -- and it also happens to be smack in the middle of a heavily-trafficked celeb sighting area.

So, the paps (not TMZ) were surprised when Ashton emerged from the restaurant and tried to strong-arm the photogs into leaving the scene.

During the confrontation, one of Ashton's associates can be seen in the background quickly escorting Mila into Kutcher's ride ... as if they're trying to slip past the cameras.

FYI -- Mila was wearing a baggy shirt and baggy jeans. So, the mystery remains.

"Real Housewives of Atlanta" star Kenya Moore says she's no sext-messaging slut hooking up with Phaedra Parks' husband ... and thinks he spun the whole lie just for attention on the show..

Parks' husband Apollo Nida claims Kenya had sexted him while they were both in L.A. last year ... and proposed a face-to-face hook up too.

Last night on 'RHOA' ... Nida said Kenya "wanted to f**k, ok, she wanted to have sex in L.A." ... although he denies anything ever happened.

Moore tells TMZ she and Nida did text each other -- but there was nothing sexual, and they never met up. She gave us screen shots of what she claims was their text convo last October.
